Keepr — Merchant Terms of Service

1. Acceptance

By installing the Keepr app from the Shopify App Store, you ("Merchant") agree to these Terms of Service on behalf of yourself and any entity you represent. Keepr is operated by [Founder / Company legal name — TBD].

2. The service

Keepr is a return-prevention tool that integrates with your Shopify store to:

  1. Present customers with alternative offers at key moments in the return flow.
  2. Measure the impact of these offers via a 50/50 A/B control group.
  3. Provide merchants with an analytics dashboard and settings panel.

Keepr does not process refunds on your behalf, handle reverse logistics, or store payment information.

3. Customer-facing obligations (non-negotiable)

The following CTA rules are mandatory and cannot be overridden:

  1. The "Continue with refund" option is presented with equal visual weight to any offer button on every intervention screen.
  2. The refund path is never delayed, hidden, or disabled.
  3. Intervention copy never blames, shames, or guilts customers.
  4. No countdown timers or artificial scarcity are shown (unless sourced from real inventory data).

These rules reflect Directive 2011/83/EU and equivalent regulations. Merchants who attempt to circumvent them may have access terminated without refund.

4. AI-generated content

Keepr uses Claude (Anthropic) to generate intervention copy. AI-generated copy may occasionally be inaccurate or inconsistent with your brand voice. You retain responsibility for consumer-facing content. Keepr's fallback rules engine activates if the AI is unavailable — refunds are never blocked by an AI failure.

5. Data and privacy

Your use of Keepr involves processing customer data as described in our Privacy Policy. You remain the data controller; Keepr acts as a data processor. You are responsible for ensuring your privacy policy covers Keepr's use.

All billing flows through Shopify's Billing API. "Measured savings" means the total return value of customers who chose a non-refund outcome in the A/B treatment group, computed monthly. The monthly cap is enforced before submission to Shopify.

7. Refund policy

Subscription fees are non-refundable except as required by applicable law. If you cancel mid-cycle, you retain access until the end of the paid period.

8. Acceptable use

You may not use Keepr to circumvent consumer protection laws, display discriminatory content, or reverse-engineer Keepr's source code or AI prompts.

9. Warranties and liability

Keepr is provided "as is." We do not warrant specific return-rate improvements. To the extent permitted by law, our total liability is limited to fees paid in the prior 12 months. We are not liable for indirect, incidental, or consequential damages.

10. Indemnification

You agree to indemnify Keepr from claims arising from your violation of these Terms or applicable law.

11. Intellectual property

Keepr retains all rights in the App and its analytics methodology. You retain all rights in your store data.

12. Term and termination

These Terms begin on installation and continue until terminated. Either party may terminate by uninstalling the App (you) or by giving 30 days' notice (us). We may terminate immediately for material breach, including violation of §3.
